Terms of Service

These Terms of Service govern your access to and use of the LabelQuill website, applicant portal, worker dashboard, and related services.

By creating an account, submitting an application, accessing the dashboard, claiming tasks, or otherwise using LabelQuill, you agree to these Terms. If you do not agree, do not use the service.

1. The service

LabelQuill operates an online platform that connects qualified individuals with annotation, labeling, evaluation, review, and related data-quality work (“Tasks”). The platform may include account registration, applications, training, identity verification, agreements, a task marketplace, quality review, an earnings ledger, and payout requests.

Features available to you depend on your account status, eligibility, verification, agreements, and operational capacity. We may modify, suspend, or discontinue features with reasonable notice where practicable.

2. Eligibility and accounts

You must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract. You must provide accurate registration information and keep it current. You are responsible for safeguarding your credentials and for activity under your account. Notify us promptly of any unauthorized use.

One person may maintain one worker account unless we expressly authorize otherwise. Creating accounts to evade limits, suspensions, or quality controls is prohibited.

3. Applications and no guaranteed work

Submitting an application does not create employment, a partnership, or a guarantee of work. Approval of an application, completion of training, or activation as a worker does not obligate LabelQuill to offer any minimum volume of Tasks, any particular project, or continuous engagement.

Task availability, rates, eligibility rules, and acceptance criteria may change. Displayed estimates of earnings or hours are informational and not a promise of income.

4. Independent contractor relationship

If you perform paid Tasks, you do so as an independent contractor under the Independent Contractor Services Agreement (or other worker agreement) presented for electronic acceptance in your account. That agreement supplements these Terms for Task performance, compensation, confidentiality, and work product. In case of conflict on those subjects, the worker agreement controls.

Nothing in these Terms makes you an employee, agent, or partner of LabelQuill. You are responsible for your own taxes, insurance, equipment, and workspace unless a written project term states otherwise.

5. Training, verification, and agreements

Access to certain features may require completion of training modules, identity verification, linking a payout method through our designated flows, and electronic acceptance of required agreements. You authorize us to process verification and compliance checks as described in the Privacy Policy.

Providing false identity, work-authorization, or payment information is grounds for immediate suspension and forfeiture of unpaid amounts to the extent permitted by law.

6. Tasks, quality, and submissions

When you claim a Task you agree to follow the project instructions, confidentiality rules, permitted tools, deadlines associated with the claim, and quality standards. Submissions may be reviewed by automated checks and human reviewers. We may accept, reject, request revision, or otherwise dispose of submissions according to project rules.

You represent that your submissions are your original work (except materials we provide for the Task), do not infringe third-party rights, and do not contain malware or unlawful content.

7. Earnings and payouts

Approved work may be credited to an internal ledger. Amounts become withdrawable only when marked available under platform rules. Payouts are subject to minimum thresholds, verified payout methods, currency and jurisdiction limits, review, and settlement through our payment providers.

We may withhold, reverse, adjust, or claw back amounts credited or paid in error, for rejected or fraudulent work, duplicate claims, policy violations, or chargebacks, to the extent permitted by law. Payout timing depends on provider processing and does not guarantee same-day settlement.

LabelQuill does not collect raw payment card numbers, CVV codes, or banking passwords on our servers for card linking; those details are handled through designated secure flows or providers as disclosed in the product.

8. Acceptable use

You will not:

  • Access accounts, data, or systems without authorization
  • Share credentials or sell access to your account
  • Use bots, scrapers, or automation to claim or submit Tasks except where we expressly allow it
  • Manipulate quality metrics, reviews, or eligibility systems
  • Disclose confidential project data or customer materials
  • Upload malware or attempt to disrupt the service
  • Harass others or use the platform for unlawful purposes
  • Violate export-control, sanctions, or anti-corruption laws applicable to you

9. Intellectual property

The LabelQuill site, software, branding, and documentation are owned by LabelQuill or its licensors. You receive a limited, revocable, non-exclusive license to use the platform for its intended purpose while your account is in good standing.

Work product you create for Tasks is assigned or licensed to LabelQuill (and its customers) as set out in your worker agreement. Feedback you provide about the platform may be used by us without obligation to you.

10. Third-party services

The platform may integrate hosting, email delivery, identity verification, messaging, analytics, and payment providers. Their terms and privacy practices apply to their services. We are not responsible for third-party outages or policies outside our reasonable control.

11. Suspension and termination

We may limit, suspend, or terminate access—including for operational, capacity, quality, security, compliance, or business reasons—with or without prior notice, as further described in your worker agreement where applicable. You may stop using the service at any time. Provisions that by nature should survive (including IP, confidentiality, payment adjustments, limitation of liability, and dispute terms) survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LABELQUILL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LABELQUILL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID OR PAYABLE TO YOU FOR TASKS IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

14. Indemnity

You will defend and indemnify LabelQuill against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the service, your submissions, your breach of these Terms or a worker agreement, or your violation of law or third-party rights.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except where mandatory local law requires otherwise and cannot be waived.

Except where prohibited, disputes will be resolved in the state or federal courts located in Wilmington, Delaware, and you consent to personal jurisdiction there. Either party may seek injunctive relief in any court of competent jurisdiction to protect confidential information or intellectual property.

To the extent permitted by law, you bring claims only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

16. Electronic communications

You consent to receive notices electronically (including email, in-product notifications, and postings on the site). Electronic acceptance of agreements—including checkboxes, typed name, and click-to-sign—has the same effect as a handwritten signature under applicable electronic transactions laws (including the U.S. ESIGN Act and UETA where applicable).

17. Changes

We may update these Terms from time to time. The effective date above will change when we do. Material changes will be communicated through the site or email where appropriate. Continued use after the effective date constitutes acceptance of the updated Terms.

18. General

If a provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, the Privacy Policy, and any accepted worker agreement are the entire agreement between you and LabelQuill regarding the service.

19. Contact

For questions about these Terms, use the Contact page or email legal@LabelQuill.com.
